1. Introduction
These terms are an agreement between you and Half Five Ltd, a company registered in England and Wales (company number 17245763) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. Half Five Ltd operates Chronos, the job scheduling service available at chronos.sh, app.chronos.sh and api.chronos.sh (the "Service").
By creating an account or using the Service, you agree to these terms. If you are using the Service on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.
2. The service
Chronos is a managed scheduling API. You define recurring schedules or one-off delayed jobs, and Chronos triggers your code at the right time, over HTTP or through a worker that pulls jobs from us. Chronos does not run your code and does not host your workloads. Your code runs on your own infrastructure; we deliver the trigger and record what happened.
3. Your account
You must be at least 18 years old to use the Service. You agree to provide accurate account information and keep it up to date. You are responsible for keeping your password and API keys confidential, and for all activity under your account. If you believe your account or a key has been compromised, rotate the key and contact us at support@chronos.sh.
4. Acceptable use
You agree not to use the Service to:
- break the law, or trigger work that breaks the law;
- direct traffic at systems you do not own or have permission to call, including using scheduled jobs for denial-of-service, scraping against a target's terms, or spam;
- probe, disrupt, or circumvent the security or rate limits of the Service;
- resell the Service itself without our written agreement.
We may suspend accounts that put the Service or other customers at risk. Where reasonable, we will notify you and give you a chance to fix the problem first.
5. Your data
You own the data you send to Chronos: schedule definitions, job payloads, endpoint URLs and handler names. You grant us the limited right to store and process that data solely to provide the Service (for example, storing a payload so we can deliver it to your endpoint when the job runs). We make no claim to your code or your business data. How we handle personal data is covered in our privacy policy.
6. Plans, billing and renewals
The Free tier is free forever and does not require a card. Paid plans are billed monthly, in US dollars, through our payment processor Stripe. We do not see or store your card details.
- Subscriptions renew automatically each month until cancelled.
- Plan limits are hard caps, so you will never get a surprise bill. When you reach your plan's schedule or execution limit, further requests are declined until you upgrade or the billing period resets.
- We may change prices with at least 30 days' notice. Price changes take effect at your next renewal, so you can cancel first if you disagree.
7. Cancellation and refunds
You can cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of your current billing period: you keep your paid features until then, and you will not be charged again. When a paid plan ends, your account moves to the Free tier and its limits apply.
Because billing is monthly and you can cancel at any time, we do not offer refunds or credits for partial billing periods, except where the Service materially failed and we agree a credit is fair, or where a refund is required by law. If you believe you have been charged in error, contact support@chronos.sh within 30 days of the charge and we will look into it.
The Service is sold for business use. If you use it as a consumer, nothing in these terms affects your statutory rights.
8. Delivery guarantees and your responsibilities
Chronos provides exactly-once job creation per schedule trigger and at-least-once delivery: we retry failed deliveries with backoff until they succeed or hit your configured retry limit. At-least-once means a job can occasionally be delivered more than once. Your handlers should be idempotent, so a duplicate delivery does not cause a duplicate side effect. That design responsibility sits with you.
Do not use the Service as the sole trigger for anything where a missed or duplicated execution could endanger life, safety or property.
9. Availability and changes to the service
We work to keep the Service available, though we do not currently offer a contractual SLA. We may add, change or remove features; if a change materially reduces what your paid plan can do, we will give you reasonable notice.
10. Intellectual property
We own the Service, including its software, design and branding. These terms do not transfer any of that to you. If you send us feedback or suggestions, we may use them without obligation to you.
11. Termination
You can close your account at any time. We may suspend or terminate your account if you materially breach these terms and do not fix the breach within 14 days of us telling you about it, or immediately for serious abuse (such as the activities in section 4). After account closure we delete your data on the schedule described in the privacy policy.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits, revenue or data. Our total liability arising out of the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
Nothing in these terms excludes liability that cannot be excluded under the law of England and Wales, including liability for death or personal injury caused by negligence, or for fraud.
14. Changes to these terms
We may update these terms from time to time. For material changes we will give you at least 14 days' notice by email or in the dashboard before they take effect. Continuing to use the Service after that means you accept the updated terms.
15. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where the law of your country of residence says otherwise.
